Agreement between You and Holy Grace

Welcome to Holy Grace. The Holy Grace platform, which includes the website at www.holygrace.us (the “Site”), the Holy Grace mobile applications for iOS and Android (the “Apps”), the charity portal, and all related features and services (together, the “Service”), is operated by Holy Grace USA, Inc., a Florida nonprofit corporation (“Holy Grace,” “we,” “us,” or “our”). The Service is offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Service constitutes your agreement to all such Terms. Please read these Terms carefully and keep a copy for your reference.

Holy Grace USA, Inc. is a tax-exempt charitable organization recognized under Section 501(c)(3) of the Internal Revenue Code, Employer Identification Number 41-3117315, with an effective date of exemption of December 22, 2025.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES BETWEEN YOU AND HOLY GRACE ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS OF FIRST ACCEPTING THESE TERMS.

About Holy Grace

Holy Grace is a donation platform built for the Catholic community. The platform allows individual donors (“Donors”) to make charitable contributions to verified Catholic charitable organizations recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code, such as parishes (for example, Saint Katharine Drexel Parish), dioceses and archdioceses (for example, the Archdiocese of Miami), religious orders, and other Catholic 501(c)(3) entities (each, a “Charity”). Charities may register on the Service to accept Donations and to run designated fundraising campaigns (“Campaigns”).

Holy Grace is a platform. Holy Grace is not the recipient of Donations made through the platform. The Charity you select when you make a Donation is the recipient of your Donation.

Holy Grace, as the operator of the platform, charges a transaction service fee for processing each Donation. That fee is paid by you to Holy Grace USA, Inc. in exchange for the use of the platform. It is a service fee, not a charitable contribution to Holy Grace USA, and it is generally not tax-deductible. The portion of your payment that constitutes the actual Donation flows to the Charity you select, less applicable processing fees.

Holy Grace USA, Inc. may, in the future and at its discretion, list itself as a Charity on the platform alongside other organizations. Where it does, that fact will be disclosed clearly at the point of donation. Unless and until Holy Grace USA lists itself as a Charity, the platform is not a solicitation channel for Holy Grace USA.

Eligibility

To use the Service, you must be at least eighteen (18) years of age, you must reside in the United States, and you must have the legal capacity to enter into a binding contract. The Service is not directed to or intended for use by anyone under the age of 18, and we do not knowingly collect information from anyone under 18. If we learn that a person under 18 has created an account, we will close the account and delete the associated information.

Some features of the Service are reserved for verified Charities or their authorized representatives. By using those features on behalf of a Charity, you represent that you have authority to bind the Charity to these Terms.

Privacy

Our use of the Service is subject to our Privacy Policy, available at www.holygrace.us/privacy, which describes how we collect, use, and share your information. The Privacy Policy is incorporated into these Terms by reference. Please review it carefully.

For users who sign in with Facebook Login, our use of Meta’s platform is governed by Meta’s Platform Terms, Developer Policies, and this Privacy Policy. We only access and use data that is necessary to operate the Service and in accordance with applicable user consents and Meta’s rules.

For users who sign in X login, our use of X’s platform is governed by X’s Platform Terms, Developer Policies, and this Privacy Policy. We only access and use data that is necessary to operate the Service and in accordance with applicable user consents and X’s rules.

Electronic Communications

Visiting the Site, using the Apps, or sending emails to Holy Grace constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically — by email, in-app message, or push notification — satisfy any legal requirement that such communications be in writing.

Your Account

To use most features of the Service, you must create an account. You may create an account using your email address and a password, or by signing in with Apple, Google, X (formerly Twitter), or Facebook. When you use a third-party sign-in, that provider shares only the minimum information necessary (such as email, name, and profile photo) according to your privacy settings with them and the provider’s terms. We use this information solely for authentication and account management. We do not request unnecessary permissions from any identity provider.

You are responsible for maintaining the confidentiality of your account credentials, including any password and any one-time passcodes (“OTPs”) sent to your phone or email, and for restricting access to your computer and devices. You agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Holy Grace is not responsible for third-party access to your account that results from theft or misappropriation of your account credentials. Holy Grace and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. You may revoke Holy Grace’s access to any third-party account (including Facebook or X) at any time through that provider’s settings.

You may close your account at any time through the Settings menu in the Apps or by emailing privacy@holygrace.us. Closing your account initiates the deletion process described in our Data Deletion Instructions, available at www.holygrace.us/delete-account. Certain information may be retained as described in those instructions and in our Privacy Policy, including donation records that we are required to retain for tax and legal purposes.

Donations and Payment Processing

When you make a Donation through the Service, you authorize Holy Grace, acting as the limited agent of the recipient Charity for this purpose, to charge your selected payment method for the total amount you authorize. Holy Grace acts as the limited agent of the Charity solely for the purpose of receiving your Donation and issuing a written acknowledgment under Section 170(f)(8) of the Internal Revenue Code on the Charity’s behalf. Holy Grace is not a bank, a money transmitter, or a money services business as defined under the Bank Secrecy Act or any state banking law. Holy Grace does not hold Donor funds for the Donor’s account.

Payment processing is provided by Stripe, Inc. (“Stripe”). By using the Service to make or receive payments, you agree to the Stripe Services Agreement, including the Stripe Connected Account Agreement where applicable, available at stripe.com/legal, as that agreement may be amended by Stripe from time to time. You authorize Holy Grace to share with Stripe any information you provide to us and any transaction information related to your use of the Service. Donations may be made by major credit and debit cards and through digital wallet methods supported by Stripe, including Apple Pay and Google Pay. All Donations are denominated and processed in U.S. dollars. Funds from Donations are typically available for disbursement to the recipient Charity’s connected Stripe account within 1 to 2 banking days for credit and debit card transactions, subject to Stripe’s payout schedule, network rules, and any holds or reviews. Holy Grace does not control the timing of disbursements once funds are released to the Charity’s Stripe account.

Platform Fee and Voluntary Platform Cost Donation

Holy Grace charges a transaction service fee of 3.95% plus $0.30 per Donation transaction (the “Platform Fee”). The Platform Fee is paid to Holy Grace USA, Inc. in exchange for use of the platform and is a service fee. It is not a charitable contribution and is generally not tax-deductible. Stripe also charges payment processing fees in addition to the Platform Fee. The total fees and the net amount the Charity receives are disclosed to you before you complete a Donation.

At checkout, you may be offered the option to make an additional voluntary contribution to help cover the platform and processing costs associated with your Donation (a “Voluntary Platform Cost Donation”). Where this option is offered, it will be presented on an opt-in basis only, will not be pre-selected or pre-checked, will be processed together with your Donation as a single transaction, will appear as a separate line item on your receipt, and will not be offered for recurring Donations. The amount of any Voluntary Platform Cost Donation does not vary based on the payment method you use. Like the Platform Fee, a Voluntary Platform Cost Donation is paid in exchange for platform services and is generally not tax-deductible.

Recurring Donations

You may set up a recurring Donation on a schedule you choose (for example, weekly, monthly, or annually). When you authorize a recurring Donation, you authorize Holy Grace and Stripe to charge your selected payment method on the schedule you choose until you cancel. You may cancel a recurring Donation at any time, with no fee, through the Settings menu in the Apps or the giving section of the Site. Cancellation will take effect before the next scheduled charge if processed at least 24 hours before that charge. Cancellation will not affect Donations already charged or processed. If a scheduled recurring Donation fails because of an expired card, insufficient funds, or any other reason, we may attempt to retry the charge or notify you to update your payment method, and the recurring schedule may be paused or canceled.

Other Users of the Service.

Information you choose to share through your profile, public donor display, friend connections, parish memberships, group chats, and direct messages may be visible to other users of the Service in accordance with the visibility you have selected. By default, your name and profile photo will appear on public donor recognition surfaces (such as a public donor list on a Campaign page) unless you opt out at checkout or in your account settings. You can adjust visibility for many features in the Settings menu of the Apps.

Refunds

Donations are final. Once a Donation is initiated, it is generally non-refundable. We understand that genuine errors happen. If you believe a Donation was made in error, was duplicated, or was unauthorized, you may submit a refund request within thirty (30) days of the Donation by emailing support@holygrace.us with the subject line “Refund Request” and including the transaction date, amount, and any relevant details. We will review the request and respond within ten (10) business days. Refunds are granted in our sole discretion and only to the extent funds have not yet been disbursed to the recipient Charity or are otherwise recoverable. The Platform Fee and any Voluntary Platform Cost Donation may not be refunded, in whole or in part, depending on the circumstances and on amounts already paid to third parties such as Stripe. Nothing in this section limits any chargeback or dispute rights you may have under your card network’s rules or under applicable law.

Tax Receipts and Acknowledgments; No Tax Advice

For each Donation processed through the Service, Holy Grace, acting as the limited agent of the recipient Charity, will issue a written acknowledgment to the Donor by email. The acknowledgment will identify the Charity, the date and amount of the Donation, and other information required by Section 170(f)(8) of the Internal Revenue Code and IRS Publication 1771. For Donations to Charities that provide only intangible religious benefits in exchange for the Donation, the acknowledgment will state that fact. For recurring Donations, we may, in addition to or in place of individual acknowledgments, provide you with an annual giving statement summarizing your contributions for the calendar year.

The deductibility of any Donation depends on your individual tax circumstances. Holy Grace does not provide tax, legal, financial, or pastoral advice. We encourage you to consult a qualified tax professional regarding the deductibility of your Donations. The Platform Fee and any Voluntary Platform Cost Donation are paid in exchange for platform services and are generally not tax-deductible.

Charitable Organizations

Only organizations recognized by the Internal Revenue Service as tax-exempt under Section 501(c)(3) of the Internal Revenue Code may register as Charities on the Service. Holy Grace will verify each Charity’s status using publicly available IRS records and through Stripe’s onboarding and identity verification process. Verification confirms tax-exempt status only and is not a representation regarding the quality, effectiveness, governance, or financial conduct of the Charity. Holy Grace does not endorse any Charity listed on the Service.

Charity Representations

By registering as a Charity on the Service or by accepting Donations through the Service, the Charity represents, warrants, and covenants to Holy Grace, on a continuing basis, that: (i) it is, and will remain, an organization described in Section 170(c) of the Internal Revenue Code in good standing, and it will promptly notify Holy Grace at support@holygrace.us of any change to, or threatened change to, its tax-exempt status, its eligibility to receive tax-deductible contributions, its legal name, or its Employer Identification Number; (ii) it will, on at least an annual basis or as otherwise reasonably requested by Holy Grace, confirm its current legal name, Employer Identification Number, and 501(c)(3) eligibility; (iii) within thirty (30) days of receipt of each Donation, it will, on request, provide Holy Grace with a statement regarding whether it provided any goods or services in consideration for the Donation, a description and good-faith estimate of the value of any such goods or services, and whether the Donation involved only intangible religious benefits within the meaning of Section 170(f)(8)(B) of the Internal Revenue Code; (iv) Donations received through the Service are not in exchange for any goods or services other than intangible religious benefits, where applicable; (v) it is not requesting Holy Grace to solicit contributions on its behalf, and Holy Grace does not act as a professional solicitor or fundraising counsel for the Charity; (vi) it will comply with all applicable federal, state, and local laws, including state charitable solicitation registration requirements in any jurisdiction in which it solicits donations; (vii) it will use Donations for charitable purposes consistent with its exempt status and, where Donations are made to a specific Campaign, in a manner consistent with the Campaign’s stated purpose, subject to the limited variance powers customarily afforded to charitable organizations under applicable law; and (viii) it is solely responsible for the content it submits to the Service, including its profile, photos, videos, audio, and Campaign descriptions, and it has all rights necessary to submit and display that content.

The Charity agrees to indemnify, defend, and hold harmless Holy Grace, its officers, directors, employees, contractors, agents, and successors from any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to information the Charity provides to Holy Grace, the issuance of, or failure to issue, any tax acknowledgment based on information provided by the Charity, any breach of the representations in this section, or the Charity’s use of the Service or violation of these Terms or applicable law.

Removal of Charities

Holy Grace may suspend, restrict, or remove a Charity’s account or listing at any time, with or without prior notice, for reasons including loss, revocation, or suspension of 501(c)(3) status; failure to maintain a Stripe Connected Account in good standing; material misrepresentation in onboarding information or Service profile; suspected fraud, money laundering, sanctions match, or other unlawful activity; content that violates these Terms or that is inconsistent with the Catholic mission of the Service; failure to issue required tax acknowledgments or to fulfill stated Campaign purposes; excessive donor complaints, refund requests, or chargebacks; court order, government directive, or applicable legal requirement; inactivity for twelve (12) consecutive months or more; or any other reason Holy Grace, in its sole discretion, deems consistent with the integrity and mission of the Service. Where feasible and where doing so does not interfere with an investigation or violate applicable law, Holy Grace will provide notice and an opportunity to respond. Holy Grace’s decision is final, and no formal appeal process is provided.

Crowdfunding Campaigns

A Charity may create one or more Campaigns to solicit Donations for a specific charitable project, program, or need. Only verified Charities may run Campaigns. Individual fundraising by persons other than verified Charities is not permitted on the Service. Campaign goals are aspirational and are not contractual commitments. Donations to a Campaign are received by the Charity for the Campaign’s stated purpose, subject to the limited variance powers customarily afforded to charitable organizations under applicable law. Holy Grace does not guarantee that a Campaign will reach its goal or that Donations will be used for any particular purpose. If a Campaign cannot proceed for any reason, the Charity is responsible for using Donated funds in a manner consistent with applicable law and donor expectations.

Catholic Identity, Library Content, and Pastoral Disclaimer

Holy Grace is a Catholic donation platform. Charities accepted onto the Service are intended to align with Catholic teaching and the mission of the Catholic Church. Holy Grace, however, is not affiliated with, sponsored by, or endorsed by the Holy See, any diocese, archdiocese, religious order, or other Catholic institution, except where expressly stated. The listing of a Charity on the Service is not an endorsement by any Catholic authority.

The Service may include educational and devotional content, including scriptural texts, biographies of saints, descriptions of the sacraments, prayers, and other devotional materials (the “Library”). Where Library content is in the public domain, such as the Douay-Rheims translation of the Bible, or is otherwise lawfully available for use, it is provided as a service to users. Library content is informational and devotional. It is not a substitute for the sacraments, the Magisterium of the Catholic Church, or the personal counsel of a priest or other clergy. Holy Grace does not provide pastoral counseling or spiritual direction. Users seeking such guidance are encouraged to contact their parish, pastor, or other appropriate clergy.

User Content and Use of Communication Services

The Service may allow you to upload, post, or otherwise submit text, images, audio, video, or other content (“User Content”), including profile information, messages to other users, comments, Charity profiles and media, Campaign descriptions, and feedback to Holy Grace. The Service may also include communication features such as friend connections, parish memberships, in-app direct messaging, and group chat (“Communication Services”), intended to support communication among members of the Catholic community.

You retain ownership of your User Content. By submitting User Content, you grant Holy Grace and our affiliated entities and necessary sublicensees a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as resizing or formatting), display, perform, distribute, and use the User Content as reasonably necessary to operate, provide, and improve the Service. No compensation will be paid to you with respect to the use of any User Content. Holy Grace is under no obligation to post or use any User Content you provide and may remove any User Content at any time in our sole discretion. By submitting User Content, you represent and warrant that you own or otherwise control all of the rights necessary to grant the licenses described in this section, that your User Content does not violate the rights of any person or any law, and that your User Content complies with these Terms.

You agree to use Communication Services only to post, send, and receive messages and material that are proper and consistent with the Catholic mission of the Service. You agree that you will not, by way of example and not as a limitation: defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others; publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information; upload files that contain software or material protected by intellectual property laws or by rights of privacy or publicity unless you own or control the rights or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s device; advertise, solicit, or offer to sell or buy any goods or services for commercial purposes outside of approved Service flows; conduct or forward surveys, contests, pyramid schemes, or chain letters; restrict or inhibit any other user from using and enjoying the Service; harvest or otherwise collect information about others without their consent; or violate any applicable laws or regulations.

Holy Grace has no obligation to monitor Communication Services. However, Holy Grace reserves the right to review materials posted to a Communication Service and to remove any materials in our sole discretion. Holy Grace also reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, in whole or in part, in our sole discretion. Always use caution when sharing personally identifying information about yourself in any Communication Service. Messages sent through the Service are stored on Service infrastructure and are not end-to-end encrypted.

Copyright Policy and DMCA Notice and Takedown

Holy Grace respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that material on the Service infringes a copyright you own or control, you may submit a notice in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512(c) (the “DMCA”).

To be effective, your DMCA notice must be a written communication that includes substantially the following: (i) a physical or electronic signature of the copyright owner or person authorized to act on the owner’s behalf; (ii) identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered, a representative list; (iii) identification of the material that is claimed to be infringing or the subject of infringing activity, with information sufficient for us to locate the material on the Service; (iv) information sufficient for us to contact you, including your name, mailing address, telephone number, and, if available, email address; (v) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Send DMCA notices to our designated agent at support@holygrace.us with the subject “DMCA Notice.” Holy Grace’s full Designated Agent contact information, including mailing address, is also available on the Contact page at www.holygrace.us/contact and in the U.S. Copyright Office’s DMCA Designated Agent Directory. Knowingly making a material misrepresentation in a DMCA notice may result in liability for damages under 17 U.S.C. § 512(f). It is Holy Grace’s policy, in appropriate circumstances, to terminate the accounts of users who are repeat infringers.

SMS, Email, and Push Notifications

We will send you transactional emails relating to your account and use of the Service, such as donation receipts, account verification messages, security alerts, password resets, and notices about these Terms or our Privacy Policy. Transactional emails are not optional, but you may close your account at any time. Within the Service’s notification settings, you may opt in to receive additional communications, such as updates about new Charities, parish activity, devotional tips, or promotions. You may turn these on or off at any time in the Apps’ Settings.

If you provide us with a mobile phone number, you consent to receive transactional SMS messages from us, such as one-time passcodes for login or security verification, sent through Twilio, Inc. (“Twilio”). Message and data rates may apply. You may stop receiving non-essential SMS messages at any time by replying STOP to any such message. Stopping non-essential SMS messages does not prevent you from receiving security and authentication messages necessary to operate your account.

If you enable push notifications, your device will receive notifications from us through the Apple Push Notification Service (on iOS) or Google’s Firebase Cloud Messaging (on Android), routed through the Expo Push Notification service. You may disable push notifications at any time through your device’s operating system settings.

Mobile Applications

Subject to your compliance with these Terms, Holy Grace grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Apps on a mobile device that you own or control, for your personal, non-commercial use. All rights not expressly granted are reserved by Holy Grace and its licensors.

Apple-Specific Terms

If you download the Apps from the Apple App Store, you acknowledge and agree that: these Terms are between you and Holy Grace, not Apple Inc. (“Apple”), and Apple is not responsible for the App or its content; the license to use the App is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions; Apple has no obligation to provide maintenance or support for the App; in the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App purchase price (if any) to you, and to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App; Apple is not responsible for any claim by you or a third party relating to the App or your possession or use of the App, including product liability claims, claims that the App fails to conform to applicable legal or regulatory requirements, and claims under consumer protection or similar legislation; Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the App; you represent that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist supporting country, and that you are not on any U.S. Government list of prohibited or restricted parties; and Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms with respect to your license to use the App, and on your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Links to Third-Party Sites and Third-Party Services

The Service may contain links to other websites and integrations with third-party services (“Linked Sites”). Linked Sites are not under the control of Holy Grace, and Holy Grace is not responsible for the contents of any Linked Site, including any link contained in a Linked Site, or any changes or updates to a Linked Site. Holy Grace provides these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Holy Grace of the site or any association with its operators.

Certain services made available through the Service are delivered by third parties, including Stripe (payment processing), Supabase (authentication and data hosting), Vercel and Railway (application hosting), Expo (mobile build infrastructure and push notifications), Twilio (SMS), Resend (email), Apple, Google, X (formerly Twitter), and Facebook (sign-in and authentication), Apple Maps and Google Maps (location and map display), and providers of error tracking, product analytics, and web analytics that we may use from time to time. By using any product, service, or functionality originating from the Service, you acknowledge and consent that Holy Grace may share information and data with these third parties as necessary to provide the requested product, service, or functionality. Your use of such third-party services may be subject to additional terms and privacy policies imposed by the third party.

No Unlawful or Prohibited Use; Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. As a condition of your use of the Service, you warrant to Holy Grace that you will not use the Service for any purpose that is unlawful or prohibited by these Terms. You may not use the Service in any manner which could damage, disable, overburden, or impair the Service or interfere with any other party’s use and enjoyment of the Service. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Service. You may not use the Service if you are or wish to assist a person or entity who is on the Specially Designated Nationals and Blocked Persons List maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”) or otherwise prohibited from accessing the U.S. financial system.

All content included as part of the Service, such as text, graphics, logos, images, audio, and video, the compilation of all content, and any software used in the Service, is the property of Holy Grace or its suppliers and licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You agree to observe and abide by all copyright and other proprietary notices, legends, and other restrictions contained in any such content and will not make any changes thereto. You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Service. Holy Grace content is not for resale. Your use of the Service does not entitle you to make any unauthorized use of any protected content, and you will not delete or alter any proprietary rights or attribution notices in any content. We do not grant you any licenses, express or implied, to the intellectual property of Holy Grace or our licensors except as expressly authorized by these Terms. “Holy Grace,” the Holy Grace logo, and other Holy Grace marks are trademarks of Holy Grace USA, Inc.

International Users

The Service is controlled, operated, and administered by Holy Grace from offices within the United States and is intended for use by Donors located in the United States. We make no representation that the Service is appropriate or available for use in any other location. If you access the Service from a location outside the United States, you do so on your own initiative and you are responsible for compliance with all local laws.

Indemnification

You agree to indemnify, defend, and hold harmless Holy Grace, its officers, directors, employees, agents, contractors, licensors, and successors from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Service, your User Content, your violation of any of these Terms, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. Holy Grace reserves the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Holy Grace in asserting any available defenses.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SERVICE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. HOLY GRACE AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SERVICE AT ANY TIME.

HOLY GRACE AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SERVICE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR CONDITION OF ANY KIND. HOLY GRACE AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HOLY GRACE DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY CHARITY LISTED ON THE SERVICE OR FOR THE USE BY ANY CHARITY OF DONATIONS RECEIVED. HOLY GRACE’S VERIFICATION OF A CHARITY’S 501(C)(3) STATUS IS NOT A REPRESENTATION REGARDING THE QUALITY, EFFECTIVENESS, OR FINANCIAL CONDUCT OF THE CHARITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOLY GRACE AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICE, WITH THE DELAY OR INABILITY TO USE THE SERVICE OR RELATED SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE SERVICE, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF HOLY GRACE OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN NO EVENT WILL HOLY GRACE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF PLATFORM FEES PAID BY YOU TO HOLY GRACE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

Arbitration

Before filing an arbitration demand or any legal action, you and Holy Grace agree to attempt to resolve any dispute informally. Either party must first send a written notice to the other describing the dispute, the relief sought, and the basis for that relief. Notices to Holy Grace must be sent to support@holygrace.us with the subject “Dispute Notice.” Holy Grace’s mailing address for formal notices is published on the Contact page at www.holygrace.us/contact. The parties will attempt in good faith to resolve the dispute through informal negotiation for at least thirty (30) days from delivery of the notice before initiating arbitration or other proceedings.

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The arbitration will be held in Broward County, Florida, although the arbitrator may permit the parties to participate from other locations and may conduct hearings remotely or by telephone or video. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. The arbitrator, and not any court or agency, will have exclusive authority to resolve any dispute arising out of or relating to these Terms, including the scope or enforceability of this arbitration provision. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

You have the right to opt out of this arbitration provision by sending a written notice of opt-out to Holy Grace at support@holygrace.us with the subject “Arbitration Opt-Out” within thirty (30) days after the date you first accept these Terms. The notice must include your full name, the email address associated with your account, and a clear statement that you are opting out of arbitration. If you opt out, the remainder of these Terms continues to apply, and disputes will be resolved in court in accordance with the Termination/Access Restriction section below. Either party may bring an individual action in small claims court for disputes within that court’s jurisdiction in lieu of arbitration.

Class Action Waiver

Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class, representative, mass, collective, or private attorney general actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Holy Grace agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding. If this class action waiver is held unenforceable with respect to any claim, the claim must be brought in court, but the rest of this section remains in effect for all other claims.

Termination/Access Restriction

Holy Grace reserves the right, in our sole discretion, to terminate your access to the Service and the related services, or any portion thereof, at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws principles. For any claim that is not subject to arbitration, you hereby consent to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida, in all disputes arising out of or relating to the use of the Service. Use of the Service is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Holy Grace as a result of this agreement or use of the Service, except for the limited agency by which Holy Grace acts on behalf of a Charity solely to receive Donations and issue tax acknowledgments. Holy Grace’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Holy Grace’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by Holy Grace with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Holy Grace with respect to the Service and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Holy Grace with respect to the Service. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.

Changes to Terms

Holy Grace reserves the right, in our sole discretion, to change the Terms under which the Service is offered. The most current version of the Terms will supersede all previous versions. We will notify you of material changes by email, by an in-app notice, or by another reasonable means at least thirty (30) days before the changes take effect, unless a shorter period is required by law or by an emergency need to address a security issue or legal risk. Holy Grace encourages you to periodically review the Terms to stay informed of our updates. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those revised Terms.

General Provisions

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Holy Grace may assign these Terms in connection with a merger, acquisition, sale of all or substantially all of our assets, reorganization, or similar transaction, or by operation of law. Any attempted assignment in violation of this section is void.

Neither party will be liable for any failure or delay in performance, except for payment obligations, due to causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, epidemics or pandemics, network or infrastructure failures, or third-party service failures.

Sections of these Terms that by their nature should survive termination will survive, including without limitation the sections on intellectual property, indemnification, the liability disclaimer, the limitation of liability, dispute resolution and arbitration, and these general provisions.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later, and any waiver must be in writing to be effective.
